Terms of Use

For the Heads Up Android app (package com.lmelabs.headsup), published by LME Labs ("we", "us", "our").

The short version

  • Heads Up helps. It doesn't replace looking. The app is a supplement to your own attention — it won't catch every threat, it can be wrong, and you remain responsible for your own safety.
  • Installing the app means you agree to these terms. If you don't agree with them, please don't install or use Heads Up.
  • The app is provided, "as is", with no warranty. To the maximum extent allowed by law, we aren't liable for any harm, loss, or damage arising from your use of it.

1. Acceptance of these terms

These Terms of Use ("Terms") form a binding agreement between you and LME Labs about your use of the Heads Up Android application and any related services we provide (together, the "App"). By downloading, installing, opening, or using the App, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not install the App, and uninstall it if you already have.

2. What the App does

Heads Up uses your phone's rear-facing camera and motion sensors to detect objects that may be on a collision course with you while you walk, and to alert you with directional haptics and a transparent overlay. All processing runs on your device. See our Privacy Policy for how this works in practice.

3. Safety disclaimer — please read this one

Heads Up is a supplement to your own attention and situational awareness — not a replacement for them. You are responsible for your own safety at all times.

The App uses heuristic machine-learning detection running on consumer phone hardware in unpredictable real-world conditions. This means:

  • It will sometimes miss real threats (false negatives). Poor lighting, an occluded camera, an unusual phone position, fast-approaching objects, complex environments, and many other factors can cause the App to fail to detect something that is in fact dangerous.
  • It will sometimes alert you when nothing is wrong (false positives). Treat alerts as a prompt to look up, not as a guarantee of danger.
  • Its accuracy is not certified against any safety, medical, automotive, accessibility, or regulatory standard.
  • It is not intended for high-risk environments. Do not rely on the App when crossing roads, working near vehicles or machinery, near rail lines, near water hazards, or in any other context where missing a threat could cause serious injury or death.
  • It is not a medical device or a mobility aid, and it is not a substitute for one. People with vision impairment or other disabilities should use the App only in addition to — never instead of — their established mobility aids and practices.

By using the App, you accept these limitations and agree that you use the App entirely at your own risk.

4. Licence to use the App

Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non- sublicensable, revocable licence to download, install, and use the App on Android devices that you own or control, for your own personal, non-commercial use. Your licence to use the App is also governed by the Google Play Terms of Service where the App is distributed through Google Play.

5. Things you must not do

You agree not to:

  • Copy, modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works of the App or any part of it, except where applicable law expressly permits this and you have given us prior written notice of your intent to exercise that right;
  • Remove, obscure, or alter any proprietary notices, branding, or labels in the App;
  • Rent, lease, lend, sell, sublicense, redistribute, or otherwise transfer the App to a third party;
  • Use the App in any way that violates applicable law, infringes anyone's rights, or attempts to harm any person or system;
  • Use the App to harass, surveil, record, or attempt to identify any person — Heads Up is a personal-safety alert tool, not a surveillance tool;
  • Attempt to bypass, disable, or interfere with security or rate-limiting features of the App or Android.

6. Intellectual property

The App's original source code, design, branding, imagery, and copy are owned by LME Labs and protected by copyright, trademark, and other intellectual-property laws. Except for the limited licence granted in Section 4, these Terms do not transfer any ownership or other rights in the App to you.

The App incorporates third-party open-source components, including the TensorFlow Lite runtime and Support Library, the MobileNet SSD v1 object-detection model (sourced from the TensorFlow Model Garden), AndroidX CameraX and Lifecycle libraries, and Kotlin Coroutines. These components are owned by their respective authors (primarily Google LLC and JetBrains s.r.o.) and are used under the Apache License 2.0. The App does not claim ownership of these components. 7. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by applicable law, LME Labs, its developers, its contributors, and its licensors expressly disclaim all warranties and conditions, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, security, non-infringement, uninterrupted operation, error-free operation, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the App will detect any particular object or threat, that alerts will be timely or accurate, that the App will operate without interruption, or that it will function correctly on any specific device or Android version.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the maximum extent permitted by applicable law, and any non-excludable warranties are limited to the shortest period and minimum scope permitted by law.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LME LABS, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRIBUTORS, AGENTS, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, WE WILL NOT BE LIABLE FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, OR OTHER HARM ARISING FROM YOUR USE OF OR RELIANCE ON THE APP, INCLUDING ANY FAILURE OF THE APP TO DETECT, WARN ABOUT, OR PREVENT AN ACTUAL COLLISION OR OTHER PHYSICAL HAZARD.

To the extent any liability cannot be excluded under applicable law, our aggregate liability to you under or in connection with these Terms or your use of the App will not exceed the greater of (a) the total amount you paid us for the App in the twelve months preceding the event giving rise to the claim and (b) the minimum amount required by applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the exclusions and limitations above may not apply to you. In those jurisdictions, our liability is limited to the smallest amount permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless LME Labs and its officers, directors, employees, contributors, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or connected with (a) your use of the App in a way that violates these Terms, (b) your violation of any law or the rights of any third party, or (c) any reliance you or any third party places on the App's alerts, detections, or outputs.

10. Age and capacity

To use the App, you must be of the minimum age required to form a binding contract in your country of residence, and you must have the legal capacity to enter into these Terms. If you are below that age, you may use the App only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

Heads Up is designed for a general audience (Android users aged 13 and over). It is not directed at children, and we do not knowingly collect personal information from anyone (see the Privacy Policy). A parent or guardian helping a minor use the App accepts these Terms on the minor's behalf.

11. Termination

You may stop using the App and end this agreement at any time by uninstalling it from your device. Sections of these Terms that by their nature should survive termination — in particular the disclaimer of warranties, limitation of liability, indemnification, intellectual-property provisions, and governing-law clause — will continue to apply after you stop using the App.

We may suspend or terminate your right to use the App, or remove the App from distribution, at any time if you breach these Terms or if we discontinue the App. We will try to give reasonable notice where it is practical to do so.

12. Changes to the App and to these Terms

We may change, update, or discontinue the App or any feature of it at any time. We may also update these Terms from time to time — for example, when the App's behaviour changes, when laws change, or to clarify or strengthen the drafting. When we do, we will update the "Last updated" date at the top of this page.

If a change materially reduces your rights, we will take reasonable steps to bring the change to your attention (for example, by noting it in the App's release notes or in a banner on this page). Continuing to use the App after a change to these Terms takes effect means you accept the updated Terms. If you do not accept the updated Terms, please stop using the App and uninstall it.

13. Governing law and disputes

These Terms are governed by, and will be interpreted in accordance with, the laws of the jurisdiction in which LME Labs is established, without regard to its conflict-of-laws rules. You and we both submit to the exclusive jurisdiction of the courts of that location for any dispute arising out of or in connection with these Terms or your use of the App, except where applicable consumer-protection law in your country of residence gives you the non-waivable right to bring proceedings in your local courts and to rely on your local consumer law.

Nothing in these Terms is intended to limit any rights you have as a consumer under your local law that cannot be excluded or waived by contract.

14. General

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LME Labs regarding the App and supersede any prior or contemporaneous agreements on that subject. You may not assign or transfer these Terms; we may assign them to a successor of our business.
